i am facing exactly the same problem using the following

linux-image-2.6.16-2-xen-686  2.6.16-18                     Linux kernel
2.6.16 image on PPro/Celeron/PII/PIII/P4 machines
xen-hypervisor-3.0-i386       3.0.2+hg9697-2                The Xen
Hypervisor for i386


wos booting Dom0 perfectly before upgrading
